Attorney Profiles: Frank McDaniel

Frank McDaniel is the founding partner in the law firm of McDaniel Law Firm, PC. With over 28 years of experience practicing law, he strives to provide common sense business solutions and innovative legal counsel to his clients, ranging from early stage to large, multi-national publicly-traded and private companies, research institutions and venture capital firms involved in domestic and international transactions.

Mr. McDaniel has developed extensive experience in the handling of complex commercial transactions and relationships. Such transactions include reverse mergers; strategic alliances and partnerships; taxable and tax-free mergers and acquisitions; private and public debt and equity financing; the formation of closely-held companies and joint venture arrangements; noncompetition, nondisclosure and nonsolicitation agreements; nonqualified deferred compensation arrangements, including Section 409A; employment and severance agreements; stock option and restricted stock plans and agreements; convertible debt; limited liability company operating agreements; shareholders' agreements; equity debt financing arrangements; supply, distribution and manufacturing agreements; and merger, asset and stock purchase agreements.

Mr. McDaniel has also developed substantial industry-specific expertise within the fields of biotechnology, medical device and other biosciences, healthcare, technology and green energy. In the past ten years alone, he has provided legal services to well over 60 biosciences companies and institutions, including pharmaceutical, biotech and medical device companies, research institutions and venture capital firms, and has been elected to the board of directors of a publicly-traded biotechnology company. In additional to his broad corporate and tax experience, Mr. McDaniel has developed and maintains industry-specific relationships throughout the United States, Canada, Germany, United Kingdom, the Middle East and Asia, particularly with biotechnology companies, large pharmaceutical companies, the venture capital community and governmental agencies.

On behalf of his biosciences and other technology clients, Mr. McDaniel has negotiated a wide range of domestic and international pharma-to-pharma, pharma-to-biotech and biotech-to-biotech agreements, to include multi-hundred million dollar licensing, supply, distribution and manufacturing agreements.

He also has acquired extensive industry specific experience in the negotiation of biosciences agreements with a multitude of domestic and international research institutions, to include the Allegheny-Singer Research Institute, Arizona State University, University of Alabama, Baylor University, Centers for Disease Control & Prevention ("CDC"), Columbia University, Duke University, Emory University, University of Florida, Institute of Gustav Roussy, Georgia Institute of Technology, University of Georgia, University of Massachusetts, North Carolina State University, Ohio State University, Stanford University, Texas A&M, University of Texas (MD Anderson), University of Texas Medical Branch, Vanderbilt University and Yale University. Negotiations with such institutions have included not only the licensing of biosciences technology, but also material transfer agreements, testing agreements, clinical trial agreements, sponsored research and other related agreements

Mr. McDaniel has previously served on the board of directors of a publicly-traded biotechnology company
